1. Acceptance of these terms
These Terms and Conditions ("Terms") are a binding agreement between you and [Company Legal Name] ("BRICS Billing", "we", "us") for your use of our website, web app, mobile apps and related services (the "Service"). By creating an account or using the Service you accept these Terms and our Privacy Policy. If you use the Service for a business, you confirm you are authorised to bind that business.
2. Eligibility
You must be at least 18 years old and able to enter into a legally binding contract under Indian law to use the Service.
3. Your account
- Provide accurate registration and business details, and keep them up to date.
- Keep your credentials confidential. You are responsible for all activity under your account, including by team members you invite.
- Tell us promptly at the address below if you suspect unauthorised access.
- One account is for one business unless your plan says otherwise.
4. The Service
BRICS Billing provides software for creating invoices, managing customers, products and stock, recording payments and preparing GST-related reports. We may add, change or remove features. Where a change materially reduces functionality you have paid for, we will give reasonable notice.
5. Tax and compliance responsibility
The Service is a tool. It is not tax, accounting or legal advice. You remain solely responsible for the accuracy of the data you enter, the tax rates, HSN/SAC codes and place-of-supply choices you apply, and for timely filing of returns and compliance with GST and other laws. We do not guarantee that any report or document generated will be accepted by a tax authority. Please confirm with your chartered accountant or tax professional.
6. Plans, fees and refunds
- Some features are free; others need a paid plan. Prices are shown at checkout and are exclusive of GST unless stated.
- Paid plans renew automatically for the same period until you cancel. You can cancel before the renewal date from your account settings or the store subscription page you used to buy.
- Fees are charged in advance and are non-refundable except where required by law or stated in a written offer. If you are charged in error, contact us within 7 days.
- We may change prices on notice of at least 30 days. The new price applies from your next renewal.
- Purchases made through Google Play are also subject to Google's billing and refund terms.
- If payment fails, we may restrict paid features until it is resolved.
7. Your data
You own the business data you enter. You give us a limited licence to host, process, back up and display it solely to provide and support the Service. You confirm you have the right to enter that data, including customers' and suppliers' details. You can export your records at any time, and you can delete your account as described at our account deletion page. How we handle personal data is explained in the Privacy Policy.
8. Acceptable use
You agree not to:
- Use the Service for fake, fraudulent or tax-evading invoices, or for any unlawful activity.
- Attempt to access other users' accounts or data, or probe, scan or test the Service's security without written permission.
- Reverse engineer, copy, resell or sublicense the Service, except as the law allows.
- Upload malware or send spam through the Service.
- Overload or interfere with our infrastructure, or use bots or scrapers without permission.
9. Intellectual property
The Service, including its software, design, logos and documentation, belongs to us or our licensors and is protected by law. We grant you a limited, non-exclusive, non-transferable, revocable right to use it in accordance with these Terms. Feedback you give us may be used by us without obligation to you.
10. Third-party services
The Service may connect to third-party services such as payment gateways, messaging providers and government GST or e-invoicing portals. We do not control them and are not responsible for their availability, fees or terms, which apply to your use of them.
11. Disclaimers
The Service is provided "as is" and "as available". To the extent the law allows, we disclaim all warranties, express or implied, including fitness for a particular purpose and non-infringement. We do not promise the Service will be uninterrupted or error-free. Keep your own copies of important records.
12. Limitation of liability
To the extent permitted by law, we are not liable for indirect, incidental, special or consequential losses, including lost profits, lost data, penalties, interest or notices arising from tax filings. Our total liability for any claim relating to the Service is limited to the fees you paid us in the 12 months before the claim arose. Nothing in these Terms excludes liability that cannot be excluded under Indian law.
You agree to indemnify us against claims arising from your breach of these Terms, your misuse of the Service, or the data you enter in it.
13. Suspension and termination
You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or if your account poses a security risk. We will give notice where reasonable. On termination, your right to use the Service ends and your data is handled as described in the Privacy Policy. Sections that by nature should survive (such as ownership, disclaimers, liability and governing law) continue to apply.
14. Governing law and disputes
These Terms are governed by the laws of India. Courts at Kalaigaon, Assam have exclusive jurisdiction, subject to any mandatory consumer rights you have. Please contact us first so we can try to resolve a dispute informally. We may update these Terms from time to time; we will notify you of material changes, and continued use after the effective date means you accept them.
